Privacy · Terms · Data Processing Addendum

1. The agreement

These terms, your order (the plan, setup fee and minutes you chose, confirmed by invoice or by paying through the dashboard), the Privacy Policy and the Data Processing Addendum together form the agreement between the customer named on the order ("you") and Clicks Bazaar Pvt. Ltd. ("DigitalCallers", "we"). If a signed enterprise agreement exists, it prevails over these terms where they conflict.

2. What we provide

DigitalCallers is a managed AI calling service: we build AI voice agents on your scripts, FAQs and business facts, connect them to your lead sources and phone numbers, test them with you, and run your outbound and inbound calls from a dashboard where you can monitor calls, listen to recordings, read transcripts and export results. The service is provided as described on the website and in your order; features marked as planned or beta are not promised.

3. Plans, setup fees and minutes

  • Setup fee. A one-time fee for building and launching the agents included in your plan. It is earned when the agents go live and is non-refundable after that; if we cannot deliver a working agent for your use case we refund it in full.
  • Monthly bundle. Each plan includes a minimum number of calling minutes per month at the plan's per-minute rate, prepaid. Minutes are for the month they are bought in and expire at the end of that billing period; they do not roll over.
  • Overage. Minutes beyond the bundle are billed at the plan's per-minute rate and are deducted from your balance (prepaid) or added to the next invoice (postpaid accounts).
  • Billing unit. Calls are billed in 30-second pulses, rounded up, from the moment the call is answered. Unanswered, busy and failed calls are not billed.
  • Minimum term. Monthly plans have a minimum term of 3 months from go-live. Annual plans are paid upfront for 12 months and discounted on the setup fee as shown on the pricing page; the discount does not apply to minutes, overage or add-ons.
  • Add-ons. Extra agents, phone numbers and integrations beyond the plan's included slots are charged as listed on the pricing page or in your order (one-time and/or monthly fees).
  • Price changes. We may change list prices with 30 days' notice; changes apply from your next renewal, never mid-term. Customers on a custom or grandfathered rate keep that rate until the renewal stated in their order.
  • Taxes. All prices are exclusive of GST (currently 18%), which is added to every invoice.

4. Payment

Prepaid plans are activated on receipt of payment through Razorpay or bank transfer. Postpaid invoices are due within 7 days. If a balance runs out or an invoice is overdue, calling pauses until it is settled; the dashboard, recordings and data remain accessible for 60 days after suspension, after which the account may be closed under clause 11. Invoices are issued by Clicks Bazaar Pvt. Ltd. with GST.

5. Your responsibilities

  • Lawful calling. You are responsible for the lawful basis of every call: consent or legitimate purpose for outbound calls, honouring do-not-call preferences, calling only in permitted hours, and complying with TRAI's Telecom Commercial Communications Customer Preference Regulations and any sector rules that apply to you (for example RBI guidance on collection calls or IRDAI rules on insurance solicitation). The platform's DND scrubbing, calling-hour windows and consent lines are tools to help you comply; they do not transfer the obligation to us.
  • Accurate scripts and facts. The agent says what you give it. You confirm that prices, offers, locations, regulatory statements and any claims in your scripts are true and lawful, and you review the agent in testing before go-live.
  • Recording notice. Where the law or your sector requires it, your script must tell the recipient that the call is recorded. We can add this line for you; you decide whether it is required.
  • Your data. You have the right to upload the leads and contacts you connect, and you will not upload data you are not permitted to use.
  • Account security. Keep logins confidential, use the roles feature to limit access, and tell us promptly if you suspect unauthorised use.

6. Acceptable use

You must not use DigitalCallers to make calls that are deceptive, harassing, threatening or abusive; to impersonate a person, a government body or a bank; to collect or verify Aadhaar numbers, one-time passwords, card numbers or passwords on a call; to run lotteries, get-rich-quick schemes or anything illegal in India; or to call emergency numbers. We may pause an agent immediately if we see any of this, and we will tell you why.

7. Service levels and support

We aim for the platform to be available 99.5% of the time each month, excluding scheduled maintenance announced at least 24 hours in advance and failures of telecom carriers, AI providers or your own systems. Support response times are the ones listed for your plan on the pricing page (for example, first reply within one working day on Starter and within one hour for critical issues on Enterprise). If we miss the availability target in a month, you may request a credit of unused minutes proportional to the downtime; credits are the only remedy for downtime.

8. AI, accuracy and the limits of a voice agent

AI voice agents are good but not perfect. They can mishear, misunderstand or phrase an answer imperfectly, and connect rates depend on list quality, timing and the carrier. We do not promise any specific number of appointments, sales or recoveries. You keep a human in the loop for anything consequential — contracts, payments, medical or legal advice — and you tell your customers they are speaking to an AI assistant where the law or good practice requires it.

9. Intellectual property

We own the platform, its software, prompts, voice configurations and documentation. You own your scripts, your business facts, your lead data, your recordings and transcripts, and you grant us a licence to use them only to provide the service. Improvements we make to the platform while serving you belong to us. You may not copy, resell, white-label or reverse-engineer the platform.

10. Confidentiality and data protection

Each side keeps the other's non-public information confidential. Personal data is handled as set out in the Privacy Policy and the DPA, which forms part of these terms.

11. Term, suspension and ending the agreement

  • The agreement runs for the term in your order and renews month to month (or year to year for annual plans) unless either side gives 30 days' written notice before the renewal date, after the minimum term.
  • We may suspend the service immediately for non-payment, for a breach of clauses 5 or 6, or if a carrier or regulator requires it; we restore it when the issue is fixed.
  • Either side may end the agreement if the other materially breaches it and does not fix the breach within 15 days of written notice.
  • On ending, calling stops, you can export your leads, recordings and transcripts for 30 days, and we then delete your data as described in the Privacy Policy. Prepaid minutes for the current period are not refunded except where we ended the agreement without cause.

12. Liability

To the extent the law allows: neither side is liable for indirect or consequential loss, lost profits or lost business; our total liability in any 12-month period is capped at the fees you paid us in that period; and nothing limits liability for fraud, wilful misconduct or anything that cannot be limited under Indian law. You indemnify us against third-party claims arising from your scripts, your data, or calls made in breach of clause 5 or 6.

13. Changes to the service and these terms

We improve the platform continuously and may change or retire features with reasonable notice. We may update these terms; material changes are emailed to the account owner 30 days before they take effect, and continued use after that date is acceptance.

14. Law and disputes

These terms are governed by the laws of India. Courts in Gurugram, Haryana have exclusive jurisdiction, after a good-faith attempt to resolve the dispute between the parties' management within 30 days.
